Welcome to WhaTTask! These Terms of Service ("Terms") form a binding agreement between you and OpenWings Technologies ("OpenWings", "we", "us") regarding your use of WhaTTask, a software-as-a-service project and task management platform available at whattask.app (the "Service").
1. The Service
WhaTTask provides cloud-based tools for managing projects, tasks, team collaboration, time tracking, client approvals, and related workflows. The Service is offered on a freemium subscription basis with paid plans unlocking additional features and capacity.
2. Eligibility
To use WhaTTask, you must:
- Be at least 16 years of age (or the age of majority in your jurisdiction, whichever is higher).
- Have the legal capacity to enter into a binding contract.
- Not be barred from using the Service under applicable law.
If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Accounts
3.1 Account Creation
You may create an account using your email and password, or via Google Sign-In. You must provide accurate and complete information and keep it updated.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password.
- All activities that occur under your account.
- Notifying us immediately of any unauthorized use of your account.
3.3 Workspaces and Roles
WhaTTask is organized into workspaces. When you sign up, you become the owner of your workspace. You can invite teammates, who join your workspace as members or admins.
- Owner: Has full control, including billing and member management.
- Admin: Can manage projects and members but not billing.
- Member: Can use the Service within the workspace.
If your workspace is created by an employer or organization, that entity controls the workspace and your access to it. They may modify or revoke your access at any time.
4. Subscription Plans and Billing
4.1 Plans
WhaTTask offers multiple plans (Free, Pro, Business, Enterprise), each with different features and limits. Current pricing and plan details are listed at whattask.app/pricing. We may modify plan offerings and prices at our discretion, with notice for existing subscribers.
4.2 Free Plan
The Free plan is available indefinitely subject to feature limits. We may modify Free plan capabilities at any time.
4.3 Paid Plans
Paid plans are billed in advance on a monthly, yearly, or custom cycle. You authorize us (and our payment processors) to charge your payment method automatically at the start of each billing period.
4.4 Payment Processors
Payments are processed by third-party payment providers such as Razorpay (for India) and others as we expand. We do not store full payment card details. Your use of these processors is subject to their own terms.
4.5 Taxes
Prices listed exclude applicable taxes (GST, VAT, sales tax) unless otherwise stated. You are responsible for taxes applicable in your jurisdiction.
4.6 Refunds
All payments are non-refundable except where required by law or at our sole discretion. If you cancel a paid plan, you can use it until the end of the current billing cycle. After expiry, your workspace is automatically downgraded to the Free plan; your data is preserved.
4.7 Failed Payments
If payment fails, we will retry and notify you. After a 30-day grace period without successful payment, your workspace will be downgraded to the Free plan.
4.8 Price Changes
We may change prices with at least 30 days' notice for existing subscribers. Continued use after the price change takes effect constitutes acceptance.
5. Acceptable Use
You agree NOT to:
- Use the Service for any illegal, fraudulent, or harmful purpose.
- Upload or share content that infringes intellectual property, is defamatory, obscene, or violates anyone's rights.
- Send spam, unsolicited messages, or marketing via WhaTTask features.
- Attempt to gain unauthorized access to other workspaces, accounts, or our systems.
- Reverse engineer, decompile, or attempt to extract source code from the Service.
- Use automated tools (bots, scrapers, crawlers) to access the Service except for legitimate API use.
- Exceed plan limits by creating multiple accounts to circumvent restrictions.
- Interfere with or disrupt the Service or its infrastructure.
- Resell, sublicense, or redistribute the Service without our written permission.
- Use the Service to develop a competing product.
Violation may result in suspension or termination of your account, with no refund.
6. Your Content
6.1 Ownership
You retain all rights to the content you create in WhaTTask (tasks, projects, comments, files, etc.). We claim no ownership over your content.
6.2 License to Us
You grant OpenWings a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process your content solely to provide and improve the Service. This license ends when you delete the content or close your account, except where retention is required by law or for backups.
6.3 Your Responsibility
You are solely responsible for your content. You represent that you have all necessary rights and that your content does not violate any law or third-party rights.
6.4 Backups
While we maintain backups, you are responsible for keeping independent copies of important content. We are not liable for data loss.
7. Intellectual Property
7.1 Our IP
The Service, including all software, design, text, graphics, logos, and trademarks, is owned by OpenWings or our licensors and is protected by copyright, trademark, and other laws. "WhaTTask" and the WhaTTask logo are trademarks of OpenWings Technologies.
7.2 Limited License to You
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.
7.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without compensation.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.
9. Third-Party Services
The Service may integrate with third-party services (Google Sign-In, Razorpay, Resend, etc.). Your use of these services is subject to their own terms. We are not responsible for third-party services.
10. Beta Features and Updates
We may introduce beta or experimental features. These are provided "as is" without warranty and may be modified or removed at any time. We may update, change, or discontinue features as we evolve the Service.
11. Termination
11.1 By You
You may close your account at any time by emailing hello@openwingstech.com. Closing your account does not entitle you to a refund of any unused subscription period.
11.2 By Us
We may suspend or terminate your account if:
- You violate these Terms.
- You fail to pay for a paid plan.
- We are required to by law or government order.
- Your activity threatens the security or integrity of the Service.
- You have been inactive for an extended period (with notice for paid accounts).
11.3 Effect of Termination
Upon termination, your right to use the Service ends immediately. We may delete your data after a reasonable retention period as described in our Privacy Policy. Sections that by their nature should survive (IP, disclaimers, limitations, indemnity, dispute resolution) will survive termination.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free.
- Defects will be corrected.
- The Service will meet your specific requirements.
- Data will never be lost or corrupted.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENWINGS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ₹10,000 (TEN THOUSAND INDIAN RUPEES).
Some jurisdictions do not allow these limitations; in such cases, they apply to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify and hold harmless OpenWings, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your content or actions.
- Your violation of any rights of a third party.
15. Governing Law and Disputes
15.1 Governing Law
These Terms are governed by the laws of India, without regard to conflict of laws principles. For users in jurisdictions where local law applies mandatorily (e.g., consumer protection laws in the EU), those laws also apply.
15.2 Jurisdiction
Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India, unless mandatorily required otherwise by applicable law.
15.3 Informal Resolution
Before initiating formal proceedings, you agree to first contact us at hello@openwingstech.com to attempt to resolve the dispute informally for at least 30 days.
16. Changes to These Terms
We may update these Terms periodically. Material changes will be notified via email or in-app notification at least 14 days before they take effect. Continued use after changes constitutes acceptance. If you disagree with updated Terms, you should stop using the Service and close your account.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any plan-specific agreements, constitute the entire agreement between you and OpenWings.
17.2 Severability
If any provision is found unenforceable, the rest remains in effect.
17.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver.
17.4 Assignment
You may not assign these Terms without our written consent. We may assign them freely (e.g., in a merger or acquisition).
17.5 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, power outages, internet outages, government actions, pandemics, etc.).
